Proposals to restructure UK manufacturing facilities and acquisition of Chivers Ireland
Premier, one of the leading suppliers of grocery products in the UK, has announced consultation on the proposed closure of its factories in King#8217;s Lynn (Norfolk) and Ashford (Kent) and the expansion of three other UK food production sites. The proposal is for the King#8217;s Lynn factory to close by December 2007 and the Ashford factory to close by May 2008.

FULLY UNDERWRITTEN RIGHTS ISSUE TO RAISE
APPROXIMATELY £450 MILLION
Premier Foods plc today announces the proposed acquisition of the UK and Irish businesses of the Campbell Soup Company ("Campbells UK") for £460 million on a debt-free, cash-free basis.
The Acquisition is intended to be funded primarily by a fully underwritten Rights Issue raising gross proceeds of approximately £450 million.

The consideration will be satisfied through a cash payment and completion is expected to take place later today.
The Food Standards Agency has advised Retailers and Food Manufacturers to withdraw from the sale of any products, which may contain Worcester Sauce, supplied to them from a specific batch manufactured by Premier Foods. This statement does not relate to Worcester Sauce supplied by any other food manufacturer.
